General Requirements for Bulgaria Company Formation

Company Name

Must be unique and registered in the Bulgarian Commercial Register. Names are officially registered in the Cyrillic alphabet; Latin versions are accepted for international business use. CORPEASE conducts a name availability check prior to filing.

Bulgarian Bank Account

A Bulgarian bank account must be opened to deposit the share capital and receive the capital contribution certificate required for registration. Most Bulgarian banks require the director’s physical presence.

Remote formation is completed via an apostilled Power of Attorney. Director specimen signatures must be notarized.

Tax Registration

Upon Commercial Register approval, the company receives its UIC (Unique Identification Code) and registers with the National Revenue Agency (NRA) for corporate income tax. VAT registration is separate and mandatory once annual turnover exceeds BGN 100,000 (~€51,000), updated as of April 1, 2025.
