Company Name

Must be unique and not identical or misleadingly similar to an existing registered Italian company. Must include the suffix S.r.l., S.r.l.s, or S.p.A.

Atto Costitutivo e Statuto

The incorporation deed and articles of association — drafted by CORPEASE LEGAL and signed before an Italian civil law notary. Foreign founders may sign via an apostilled POA or through a virtual notary signing session.

Document Requirement

Remote formation is completed via an apostilled Power of Attorney or virtual notary signing. Foreign-issued documents must be officially translated into Italian and apostilled in accordance with the Hague Apostille Convention. CORPEASE coordinates the full apostille and notary process.

Tax Registration

Codice Fiscale (Italian tax identification number) and Partita IVA (VAT number) are issued by the Agenzia delle Entrate upon registration. Registration with the Registro delle Imprese (Business Register) through the local Camera di Commercio is required for the company to be fully operational.

The most common and recommended entity type for foreign investors.The S.r.l. can be formed with as little as €1 in share capital. If share capital is below €10,000, contributions must be made in cash and paid in full at incorporation, and 20% of annual profits must be set aside as a legal reserve until net assets reach €10,000. If capital is €10,000 or above, at least 25% must be paid up at incorporation (100% if there is only one founder).
